Enterprise - License Terms

This Enterprise Font License (the “License”) governs the purchase and use of the digital font(s) (the “Font”) provided by Davide Bassu Studio or davidebassu.studio (the “Licensor”).

By purchasing and downloading the Font, the user (the “Licensee”) acknowledges that they have read, understood, and fully agree to the terms and conditions of this License.

1. Grant of License

1.1. Subject to the terms of this License, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable enterprise-wide license to use the Font across the Licensee’s organization for desktop, web, application, and electronic publication purposes, as specified at the time of purchase.

1.2. The Font remains the exclusive intellectual property of the Licensor. Purchase of this License does not transfer any ownership rights in the Font.

1.3. This License is valid for the entire Licensee organization (including all employees, contractors working exclusively for the Licensee, and wholly-owned subsidiaries) within the limits defined at the time of purchase.

2. Permitted Uses

The Licensee may:

  • Install the Font on an unlimited number of desktop computers and workstations within the Licensee’s organization.
  • Embed the Font on an unlimited number of websites owned or controlled by the Licensee (self-hosted or via authorized hosting services).
  • Embed the Font in an unlimited number of software applications (mobile and desktop) developed and distributed by the Licensee.
  • Embed the Font in an unlimited number of eBooks and electronic publications produced by the Licensee.
  • Use the Font for internal and external commercial projects, branding, marketing, and client work performed by the Licensee.
  • Subset and optimize the Font files as needed, provided the files remain protected against unauthorized extraction.

3. Restrictions

The Licensee may not:

  • Share, lend, rent, lease, sell, transfer, or sublicense the Font files to any third party outside the Licensee’s organization.
  • Make the Font files available for download by third parties or end-users.
  • Convert, modify, reverse-engineer, decompile, or create derivative versions of the Font.
  • Allow external clients, agencies, or freelancers not working exclusively under the Licensee’s control to install or use the Font under this License (they must purchase their own licenses).
  • Use the Font for the creation of alphabet products (e.g., lettering kits, stamp sets, or products whose primary purpose is the reproduction of the typeface itself).
  • Use the Font in any manner that is illegal, defamatory, or infringes the rights of third parties.

4. Organizational Scope

This License covers the Licensee’s entire organization, including:

  • All current and future employees
  • Contractors and freelancers working exclusively for the Licensee
  • Wholly-owned subsidiaries

It does not extend to independent agencies, external partners, or clients of the Licensee.

5. Technical Requirements

5.1. When embedding the Font in websites, applications, or eBooks, the Licensee must implement reasonable technical measures to prevent unauthorized access to or extraction of the Font files.

5.2. The Font may not be served from publicly accessible directories that allow direct downloading.

6. Backup Copies

The Licensee may make a reasonable number of backup copies of the Font solely for archival, deployment, and internal distribution purposes within the organization. Backup copies must remain under the Licensee’s exclusive control.

7. Intellectual Property

All rights, title, and interest in and to the Font, including all copyrights, trademarks, and other intellectual property rights, remain the sole and exclusive property of the Licensor. The Licensee acquires only the limited rights expressly granted under this License.

8. Warranty Disclaimer

The Font is provided “as is” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Font will meet the Licensee’s requirements or that its operation will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Font, even if advised of the possibility of such damages. The Licensor’s total liability under this License shall not exceed the amount paid by the Licensee for the Font.

10. Termination

This License is effective until terminated. The Licensor may terminate this License immediately if the Licensee fails to comply with any of its terms. Upon termination, the Licensee must immediately cease all use of the Font across the organization, remove it from all websites, applications, and publications still under their control, and destroy all copies in their possession.

11. Governing Law

This License shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. Any disputes arising under this License shall be subject to the exclusive jurisdiction of the courts located in Italy.

12. Entire Agreement

This License constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings.

By purchasing and using the Font, the Licensee confirms acceptance of all terms and conditions set forth in this Enterprise Font License.
