Extended Commercial - License Terms

Effective Date: July 27, 2026

This Commercial License (the “License”) governs the purchase and use of the digital logo(s), graphic(s), illustration(s), or other visual asset(s) (the “Work”) provided by Davide Bassu Studio or davidebassu.studio (the “Licensor”).

By purchasing, downloading, installing, or using the Work, the individual or legal entity acquiring the Work (the “Licensee”) acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this License.

1. Grant of License

1.1. Subject to the terms of this License, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Work for commercial purposes.

1.2. The Work remains the sole and exclusive intellectual property of the Licensor. Purchase of this License grants only the rights expressly described herein and does not transfer ownership of the Work.

1.3. This License is granted to one individual or one legal entity.

2. Permitted Uses

Under this License, the Licensee may:

  • Use the Work in commercial branding and marketing materials.
  • Use the Work for one business or brand owned by the Licensee.
  • Use the Work in websites, social media, advertisements, presentations, packaging, and printed materials.
  • Modify, crop, recolor, or adapt the Work for commercial projects.
  • Use the Work in client projects, provided the final deliverable is not transferred as editable source files.
  • Use the Work in digital and printed products that promote the Licensee’s business.
  • Produce up to 5,000 physical end products incorporating the Work.
  • Create up to 5,000 digital end products where the Work is incorporated as part of a larger design and cannot be extracted as a standalone asset.

3. Restrictions

Unless expressly permitted by this License, the Licensee may not:

  • Resell, redistribute, sublicense, share, rent, lease, or otherwise transfer the original Work.
  • Upload the Work to stock marketplaces, template marketplaces, or file-sharing services.
  • Sell the Work as a standalone file or as part of any competing asset collection.
  • Use the Work in products where the primary value is the Work itself, including templates, clipart collections, icon packs, digital papers, SVG bundles, stock graphics, or similar downloadable assets.
  • Create products that allow end users to extract, edit, or reuse the Work.
  • Use the Work as part of an on-demand design service where customers receive editable source files.
  • Use the Work to train, fine-tune, or develop artificial intelligence, machine learning models, or generative AI systems without the Licensor’s prior written permission.
  • Claim ownership of the Work or register it as intellectual property.

4. Logo & Trademark Restrictions

This Commercial License does not permit the Licensee to:

  • Register the Work, whether modified or unmodified, as a trademark.
  • Use the Work as the primary logo or visual identity for a business or organization.
  • Transfer logo or branding rights to clients.

A separate Extended Commercial License is required for trademark registration, exclusive branding use, or logo licensing.

5. Production Limits

This License includes:

  • Up to 5,000 physical end products
  • Up to 5,000 digital end products

If these limits are exceeded, an Extended Commercial License must be purchased.

6. Licensed User

This License covers one individual or one legal entity. Employees working for the Licensee may use the Work solely on behalf of the Licensee. External contractors must purchase their own license unless exclusively working for the Licensee.

7. Modifications

The Licensee may modify the Work for commercial purposes. Modified versions remain subject to this License. Modification does not transfer ownership of the underlying intellectual property.

8. Intellectual Property

All rights, title, and interest in the Work remain the exclusive property of the Licensor.

9. Warranty Disclaimer

The Work is provided “as is” without warranty of any kind, whether express or implied.

10. Limitation of Liability

To the fullest extent permitted by applicable law, the Licensor’s total liability shall never exceed the amount paid for the Work.

11. Termination

The Licensor may terminate this License immediately if any provision is violated. Upon termination, the Licensee must cease all use of the Work and permanently delete all copies.

12. Updates

Purchase of this License does not include future updates unless expressly stated.

13. Assignment

This License may not be assigned or transferred without prior written permission from the Licensor.

14. Governing Law

This License is governed by the laws of Italy.

15. Entire Agreement

This License constitutes the complete agreement between the Licensor and the Licensee.

By purchasing, downloading, installing, or using the Work, the Licensee agrees to all terms of this License.
