Webfont - License Terms

This Webfont License (the “License”) governs the purchase and use of the digital font(s) (the “Font”) provided by Davide Bassu Studio or davidebassu.studio (the “Licensor”).

By purchasing and downloading the Font, the user (the “Licensee”) acknowledges that they have read, understood, and fully agree to the terms and conditions of this License.

1. Grant of License

1.1. Subject to the terms of this License, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Font solely for web embedding purposes on websites owned or controlled by the Licensee, as specified at the time of purchase.

1.2. The Font remains the exclusive intellectual property of the Licensor. Purchase of this License does not transfer any ownership rights in the Font.

1.3. This License is valid for the specific number of domains and/or monthly pageviews indicated at the time of purchase.

2. Permitted Uses

The Licensee may:

  • Embed the Font on websites using CSS @font-face or equivalent web font embedding technologies.
  • Self-host the Font files on the Licensee’s own servers or use an authorized third-party font hosting service.
  • Use the Font on the authorized number of domains and within the monthly pageview limits specified at the time of purchase.
  • Display the Font on websites for both personal and commercial purposes.
  • Subset the Font files to optimize performance, provided the subsetted files remain protected and cannot be easily extracted.

3. Restrictions

The Licensee may not:

  • Install the Font on desktop computers, workstations, or any local devices for design or production use (a separate Desktop License is required).
  • Share, lend, rent, lease, sell, transfer, or make the Font files available for download by third parties.
  • Convert, modify, reverse-engineer, decompile, or create derivative versions of the Font.
  • Use the Font in mobile or desktop applications, software, e-books, games, or any non-web context (separate licenses required).
  • Embed the Font in a way that allows end-users to access, download, or extract the original Font files.
  • Use the Font on more domains or exceed the monthly pageview limits authorized by the purchased license.
  • Use the Font for the creation of alphabet products (e.g., lettering kits, stamp sets, or products whose primary purpose is the reproduction of the typeface itself).
  • Use the Font in any manner that is illegal, defamatory, or infringes the rights of third parties.

4. Domains and Pageview Limits

This License is limited to the exact number of domains and monthly pageviews specified at the time of purchase.

  • A “domain” includes the primary domain and its subdomains under the same ownership.
  • Monthly pageviews are calculated as the total number of times pages containing the Font are loaded by end-users.
  • Exceeding the authorized limits requires the purchase of an upgraded license.

5. Technical Requirements

5.1. The Licensee must implement reasonable technical measures to prevent unauthorized access to or extraction of the Font files (e.g., proper server configuration, obfuscation where possible, and subsetting).

5.2. The Licensee may not serve the Font files from publicly accessible directories that allow direct downloading.

6. Backup Copies

The Licensee may make a reasonable number of backup copies of the Font solely for archival and deployment purposes. Backup copies must remain under the Licensee’s exclusive control and may not be distributed.

7. Intellectual Property

All rights, title, and interest in and to the Font, including all copyrights, trademarks, and other intellectual property rights, remain the sole and exclusive property of the Licensor. The Licensee acquires only the limited rights expressly granted under this License.

8. Warranty Disclaimer

The Font is provided “as is” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensor does not warrant that the Font will meet the Licensee’s requirements or that its operation will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Font, even if advised of the possibility of such damages. The Licensor’s total liability under this License shall not exceed the amount paid by the Licensee for the Font.

10. Termination

This License is effective until terminated. The Licensor may terminate this License immediately if the Licensee fails to comply with any of its terms. Upon termination, the Licensee must immediately cease all use of the Font, remove it from all websites, and destroy all copies in their possession.

11. Governing Law

This License shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. Any disputes arising under this License shall be subject to the exclusive jurisdiction of the courts located in Italy.

12. Entire Agreement

This License constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings.

By purchasing and using the Font, the Licensee confirms acceptance of all terms and conditions set forth in this Webfont License.
